Terms of Service

These Terms of Service ("Terms") govern your access to and use of Squawk, including the Squawk website, landing pages, waitlist, demo recorder, transcription features, supporter purchase flows, access-code redemption flows, emails, apps, beta features, and any related services, content, software, or features we provide (collectively, the "Service").

By accessing or using the Service, joining the waitlist, purchasing supporter access, redeeming a code, using a demo feature, or otherwise interacting with Squawk, you agree to these Terms. If you do not agree, do not use the Service.

The Service is operated by Victor Velazquez d/b/a Squawk, a Florida sole proprietorship based in Miami, Florida. In these Terms, "Squawk," "we," "us," and "our" refer to Victor Velazquez d/b/a Squawk.

Squawk is only available to users who are at least 18 years old. By using the Service, joining the waitlist, purchasing supporter access, redeeming a code, or using any demo feature, you represent that you are at least 18 years old.

If you are under 18, you may not use the Service, submit information to us, purchase access, redeem codes, or use demo features.

We may require an affirmative checkbox or other confirmation before waitlist signup, supporter checkout, or transcription features. Your confirmation is a representation that you meet this age requirement and accept the applicable legal terms.

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by other reasonable means. The updated Terms will be effective when posted unless a later effective date is stated.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not accept the updated Terms, you must stop using the Service and, if applicable, cancel any renewal before the next billing date.

Squawk is a training and preparation product designed to help pilots and student pilots practice aviation radio communication, air traffic control (ATC) phraseology, listening, response-building, and confidence before and between flights.

Squawk may include lessons, simulated scenarios, audio examples, transcripts, speech-recognition features, scoring, practice drills, gamification, waitlist features, supporter access, access codes, and related learning tools.

Squawk is a training and preparation tool only. Squawk is not air traffic control, not an aviation authority, not operational flight guidance, not emergency assistance, not flight-planning approval, and not a substitute for certified flight instruction, FAA materials, aircraft manuals, flight school guidance, checklists, regulations, or real-world ATC instructions.

You must not use Squawk for real-time flight decisions, real-time navigation, emergency decisions, live radio operations, or operational aviation judgment. You are solely responsible for following applicable laws, regulations, instructor guidance, aircraft procedures, official publications, airport procedures, and actual ATC instructions.

Simulated lessons, transcripts, examples, scoring, and AI/transcription outputs may be incomplete, delayed, inaccurate, misunderstood, or not appropriate for a specific real-world flight situation. If anything in Squawk conflicts with official aviation sources, your instructor, your aircraft documents, applicable regulations, or real-world ATC, those sources control.

Some parts of the Service may require an account, access code, email verification, payment, or other access method. You are responsible for the accuracy of information you submit and for maintaining the confidentiality of your account credentials, access codes, and purchase information.

You may not share, sell, resell, transfer, publish, abuse, or fraudulently use access credentials, access codes, or friend-pass codes except as expressly allowed by Squawk.

We may suspend, restrict, or terminate access if we believe an account, code, payment, or feature is being misused, shared improperly, obtained fraudulently, used to harm Squawk or others, or used in violation of these Terms.

The waitlist allows users to express interest in Squawk, receive updates, and potentially receive access, invitations, offers, or product information. Joining the waitlist does not guarantee access, timing, pricing, feature availability, discounts, or product launch.

You agree to provide accurate information when joining the waitlist. We may reject, remove, merge, deduplicate, or update waitlist submissions if we believe they are incomplete, duplicate, fraudulent, abusive, inaccurate, or inconsistent with these Terms.

Joining the waitlist requires affirmative confirmation that you are at least 18, that you have reviewed the Terms and Privacy Policy, and that Squawk may send waitlist, product, launch, access, and supporter-related emails to the address you provide.

You may unsubscribe from marketing emails or manage email categories by using the email-preferences link in Squawk emails, using the unsubscribe method in the email, replying with an unsubscribe request, or contacting support@flysquawk.com. We may still send transactional, access, legal, security, support, or service-related messages.

Squawk may offer early supporter purchases, pre-launch access reservations, access codes, launch benefits, included access periods, discounted membership periods, friend-pass codes, or other limited benefits (collectively, "Supporter Benefits").

Supporter purchases are not investments, securities, equity, loans, donations with tax benefits, revenue-sharing rights, ownership interests, voting rights, or rights to control Squawk. A supporter purchase only provides the listed Supporter Benefits, subject to these Terms and the purchase disclosures shown at checkout.

Payments may be processed by third-party payment providers such as Stripe. We do not directly store full payment card numbers. Your use of a payment provider may be subject to that provider's terms, policies, and security practices.

Prices, benefits, offers, discounts, taxes, and fees may change over time. The specific benefits shown to you at the time of purchase will control that purchase, except where these Terms allow changes for launch timing, roadmap changes, fraud prevention, operational needs, or legal compliance.

As of the Effective Date, Squawk's current supporter tier structure is expected to include the following tiers, unless updated on the pricing page or checkout page before purchase:

• Ground Crew - $19.99 one-time purchase; 2 included months after release/redemption; 25% discount for the next 3 months; 0 friend passes.
• Flight Crew - $39.99 one-time purchase; 6 included months after release/redemption; 30% discount for the next 6 months; 1 friend pass.
• Squawk Crew - $99.99 one-time purchase; 12 included months after release/redemption; 40% discount for the next 12 months; 3 friend passes.

If a checkout page, receipt, or supporter confirmation email states different benefits for your specific purchase, the purchase-specific disclosure controls for that purchase, subject to these Terms.

Squawk is an evolving product. Some features may be in planning, development, beta, testing, preview, or pre-launch status. We do not guarantee a specific launch date, feature set, roadmap, design, lesson structure, platform availability, app-store approval, school licensing timeline, AI feature availability, pricing structure, or beta timeline.

We may modify, delay, add, remove, redesign, limit, replace, or discontinue features, lessons, tiers, demos, previews, benefits, pricing, integrations, or product plans. Launch delays, roadmap changes, design changes, feature changes, beta timing changes, and pricing changes are not refund events by themselves.

If Squawk permanently cancels the app launch and does not provide the purchased access, the refund terms in Section 16 apply.

If your purchase includes an access code, the code may be generated, reserved, emailed, displayed, or otherwise delivered through a fulfillment process. Included access begins when the access code is redeemed after Squawk release or when Squawk otherwise activates the purchased access, not necessarily on the original purchase date.

Access codes have no cash value, are not bank accounts or stored-value cards, and may not be sold, resold, auctioned, scraped, duplicated, guessed, transferred in bulk, or used fraudulently. We may cancel, replace, or manually verify codes when needed for fraud prevention, fulfillment, technical issues, or support.

If a code, link, or fulfillment email fails, you must contact support@flysquawk.com using the email address associated with your purchase and provide enough information for us to locate and verify the transaction.

If your supporter purchase includes an included access period, that included period begins when your access is redeemed or activated after Squawk release, unless your purchase-specific disclosure says otherwise.

Today's one-time supporter checkout does not start recurring billing. Discounted membership periods are future eligibility benefits tied to a later membership or billing flow, not an automatic charge from today's supporter checkout.

Recurring charges apply only if you later agree to recurring billing, activate a subscription or membership renewal, or provide or keep a payment method for renewal through the applicable billing flow. By agreeing to recurring billing in that later flow, you authorize Squawk and its payment processor to charge the applicable payment method for recurring membership fees, taxes, and applicable charges until canceled.

After the included access period and any discount eligibility period end, membership pricing may return to Squawk's then-current normal monthly price if you choose to continue through a recurring membership flow. The then-current normal monthly price may be different from pricing shown at the time of your original supporter purchase.

If you later activate a recurring membership, you may cancel it through the billing portal or account settings when available, or by contacting support@flysquawk.com before the renewal date. Cancellation stops future recurring charges but does not automatically refund past charges or unused included/discounted periods unless required by law or expressly stated in these Terms.

If you cancel before the end of an included access period or discount period, you may lose future renewal benefits, discounts, or access after the active period ends, depending on the membership and technical implementation at that time.

You are responsible for canceling before the renewal date if you do not want future charges. We may send reminder emails before certain renewals, but failure to receive or read an email does not remove your responsibility to cancel before renewal, except where applicable law provides otherwise.

You may not use fraudulent payment methods, unauthorized payment methods, false billing information, chargeback abuse, duplicate-refund attempts, or other payment abuse. If a purchase is disputed, charged back, reversed, flagged, or suspected of fraud, we may suspend or cancel the related access, codes, friend passes, fulfillment, or account while the issue is reviewed.

Supporter purchases and other purchases are generally non-refundable unless this Section 16 applies or applicable law requires otherwise.

Squawk will provide a refund only if: (a) Squawk permanently cancels the app launch and does not provide the purchased access; or (b) Squawk cannot deliver the purchased access, access code, link, or fulfillment email within 10 business days after you contact support@flysquawk.com about the delivery issue and provide information reasonably needed to verify the purchase.

Before issuing a refund for a delivery issue, Squawk may attempt to resend, repair, replace, manually verify, or otherwise fulfill the purchased access. If we can reasonably deliver or restore the purchased access, no refund is owed for that delivery issue.

No refund is owed merely because of launch delays, roadmap changes, design changes, feature changes, beta timing changes, app-store timing, pricing changes, promotional changes, discount changes, failure to use the product, change of mind, mistaken purchase not caused by Squawk, user device limitations, email filtering/spam issues that can be corrected, or dissatisfaction with a planned feature unless applicable law requires otherwise.

Approved refunds will generally be returned to the original payment method when possible. Processing times may depend on Stripe, card networks, banks, or other payment providers.

Friend passes, when included with a supporter tier or other offer, give one eligible new user one free month of Squawk access after launch, subject to these Terms and any purchase-specific disclosure.

Friend passes are not stackable for the same person. One friend cannot combine multiple friend passes to receive multiple free months from the same or different supporter codes, unless Squawk expressly allows it in writing.

Friend passes are intended for eligible new users. They may not be sold, resold, auctioned, exchanged for cash, abused, duplicated, fraudulently redeemed, or used to bypass payment systems. Squawk may cancel, replace, or restrict friend passes connected to fraud, abuse, resale, suspicious redemption patterns, or misuse.

Friend passes do not currently expire. Squawk may update friend-pass rules in the future for fraud prevention, product operations, technical reasons, legal compliance, or abuse prevention, but will not intentionally remove legitimate, unused friend-pass value without a reasonable operational or legal reason.

Some supporter tiers or campaigns may offer optional supporter recognition, credits, acknowledgments, or similar recognition. If you opt into public recognition, you give Squawk permission to display the name, username, or recognition label you provide in connection with Squawk supporter credits, updates, pages, or related materials.

You may request removal of optional supporter recognition by contacting support@flysquawk.com. Removal may not be immediate and may not be possible for materials already printed, archived, cached, emailed, exported, or otherwise distributed before the request.

Some demo or practice features may request microphone access, record audio in your browser, submit audio for transcription, generate transcripts, produce scoring, or display feedback. Before using transcription, you must confirm that you are at least 18, that you are recording only yourself, and that you understand the audio will be sent to Squawk and its transcription provider to generate a transcript.

You may not submit live ATC audio, another person's voice, confidential information, operational flight communications, or audio or content that is unlawful, harmful, abusive, invasive of privacy, confidential without authorization, infringing, malicious, misleading, or intended to exploit or harm any person or system.

You grant Squawk a limited license to receive, process, transmit, transcribe, display, analyze, store temporarily, and use submitted audio, transcripts, and related content solely to provide, secure, troubleshoot, support, and operate the applicable feature, and as otherwise described in the Privacy Policy.

Squawk's current demo transcription flow uses ElevenLabs Scribe or a substantially similar transcription provider. Third-party providers may process audio, transcript text, and technical metadata under their own terms, policies, security controls, and retention practices.

Squawk does not use demo audio or demo transcripts to train Squawk products or models unless we later ask for and receive appropriate permission or update the applicable policy. Transcription and scoring features may be inaccurate and should not be relied on for operational aviation decisions.

You agree not to do, attempt to do, assist, or encourage any of the following:

• use Squawk for real-time flight operations, emergency decisions, live ATC decisions, or other operational aviation use;
• copy, scrape, download in bulk, reproduce, resell, redistribute, publish, or exploit Squawk lessons, scenarios, audio, scripts, UI, code, branding, content, or training materials without permission;
• share, sell, resell, stack, abuse, guess, brute-force, publish, or fraudulently use access codes, supporter codes, friend passes, coupons, or credentials;
• access or attempt to access admin systems, backend routes, Firestore data, purchase records, waitlist records, access-code records, other users' data, or non-public systems;
• interfere with the Service, payment flow, email system, analytics, demo recorder, transcription service, databases, rate limits, security features, or technical infrastructure;
• submit false, misleading, fraudulent, abusive, malicious, or unlawful information;
• upload malware, harmful code, unauthorized recordings, live ATC recordings, recordings of another person without authorization, confidential audio, or content that violates another person's rights;
• use automated bots, scripts, scrapers, crawlers, or other automated tools without written permission;
• reverse engineer, decompile, disassemble, or attempt to extract source code, prompts, models, training content, scoring logic, or non-public functionality except where law expressly allows;
• violate aviation laws, privacy laws, intellectual-property laws, payment rules, export laws, or other applicable laws;
• use the Service in any way that harms or is likely to harm Squawk, users, infrastructure, payment systems, service providers, legal compliance, reputation, or product integrity.

Squawk and its content, branding, designs, user interface, scenarios, lessons, audio scripts, transcripts, examples, software, code, graphics, logos, names, training structure, scoring logic, copy, and other materials are owned by Squawk or its licensors and are protected by intellectual-property and other laws.

Subject to these Terms, Squawk grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal training and preparation purposes only. You do not receive ownership of Squawk, its content, software, code, branding, or training materials.

You may not use Squawk's name, logo, branding, screenshots, product designs, lessons, or materials for commercial purposes, promotions, competing products, training businesses, or public distribution without written permission.

If you send feedback, ideas, suggestions, bug reports, feature requests, lesson ideas, corrections, or similar input, you grant Squawk a perpetual, worldwide, royalty-free, transferable, sublicensable license to use, modify, publish, implement, and commercialize that feedback without compensation or obligation to you.

Do not send confidential information as feedback unless we have a separate written agreement requiring confidentiality.

The Service may rely on or link to third-party services such as payment processors, hosting providers, analytics providers, email providers, transcription providers, cloud databases, fonts, app stores, or other tools. Third-party services are not controlled by Squawk and may have their own terms, privacy policies, retention practices, security practices, fees, and availability limits.

Squawk is not responsible for third-party services except to the extent required by applicable law. Your use of third-party services may be subject to those third parties' terms and policies.

The Service may be unavailable, interrupted, delayed, limited, changed, or discontinued at any time. We may test beta features, limit access, change lesson content, replace providers, change pricing, modify designs, adjust scoring systems, pause features, or remove features for product, legal, security, cost, operational, or business reasons.

We do not guarantee uninterrupted access, error-free operation, compatibility with every device or browser, permanent availability of any feature, or that every transcription/scoring result will be correct.

You are responsible for any applicable taxes, duties, fees, currency conversion costs, payment-provider fees, or other charges connected to your purchase, except taxes based on Squawk's income. Pricing may not include all taxes unless stated at checkout.

Your use of the Service is also governed by the Squawk Privacy Policy. Please review it carefully. The Privacy Policy explains what information we collect, how we use it, how long we keep it, and what choices may be available.

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Squawk disclaims all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, uninterrupted operation, and error-free operation.

Squawk does not warrant that the Service will meet your needs, improve your aviation performance, prevent mistakes, prepare you for every flight situation, satisfy any instructor, satisfy any regulator, qualify as approved training, or be suitable for any operational aviation use.

No information provided through the Service creates professional, legal, regulatory, aviation, safety, or emergency advice. You are responsible for verifying information through official sources and qualified instructors.

To the maximum extent permitted by law, Squawk and its owner, contractors, service providers, licensors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages; lost profits; lost revenue; lost data; loss of goodwill; business interruption; training interruption; flight expenses; aviation-related losses; or damages related to reliance on the Service for operational decisions.

To the maximum extent permitted by law, Squawk's total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to Squawk for the Service giving rise to the claim during the 12 months before the event giving rise to liability, or (b) $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. In those cases, liability is limited to the maximum extent permitted by law.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Squawk and its owner, contractors, service providers, licensors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your use or misuse of the Service; (b) your violation of these Terms; (c) your violation of law or third-party rights; (d) your submitted content, audio, transcripts, or recordings; (e) your misuse of access codes, friend passes, payment systems, or accounts; or (f) your use of Squawk for operational aviation decisions.

We may suspend, restrict, or terminate your access to the Service, accounts, codes, friend passes, emails, or features at any time if we believe you violated these Terms, created risk or liability, abused a feature, engaged in fraud, harmed or attempted to harm Squawk or others, or if continued access would create operational, security, legal, or business risk.

You may stop using the Service at any time. Termination does not automatically entitle you to a refund and does not limit any rights or obligations that by their nature should survive termination, including payment obligations, intellectual-property rights, disclaimers, liability limits, indemnity, dispute terms, and recordkeeping rights.

These Terms and any dispute arising out of or relating to the Service will be governed by the laws of the State of Florida, without regard to conflict-of-law rules.

Except where applicable law requires otherwise, you and Squawk agree that any lawsuit, claim, or proceeding arising out of or relating to these Terms or the Service will be brought only in the state or federal courts located in Miami-Dade County, Florida. You and Squawk consent to personal jurisdiction and venue in those courts.

To the maximum extent permitted by law, you and Squawk knowingly and voluntarily waive any right to a trial by jury in any dispute arising out of or relating to these Terms or the Service.

To the maximum extent permitted by law, you and Squawk agree that disputes will be handled only on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, private attorney general, or representative action. The court may not consolidate more than one person's claims or otherwise preside over any class or representative proceeding unless applicable law requires otherwise.

You consent to receive communications from Squawk electronically, including by email, website notice, in-app notice, checkout notice, or other electronic means. Electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law.

You are responsible for keeping your email address accurate and checking spam, promotions, and filtered folders for Squawk messages. We may send notices to the email address associated with your waitlist submission, purchase, account, or support request.

Marketing emails will include an unsubscribe or email-preferences method when required. You may also request removal from marketing updates by replying with an unsubscribe request or contacting support@flysquawk.com.

These Terms, together with any purchase-specific disclosures and the Privacy Policy, make up the agreement between you and Squawk regarding the Service. If any part of these Terms is found unenforceable, the remaining parts will remain in effect.

Our failure to enforce any provision is not a waiver of our right to enforce it later. You may not assign or transfer your rights or obligations under these Terms without our prior written permission. We may assign these Terms in connection with a merger, acquisition, sale of assets, change in business structure, transfer of the Service, or by operation of law.

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, internet failures, provider outages, payment-processor issues, cloud outages, app-store delays, labor disputes, government actions, legal changes, war, terrorism, pandemics, or technical failures.
